These Terms of Service ("Terms", "Agreement") govern access to and use of the Aurical platform ("Service", "Aurical") provided by:

and the therapist or practice entity that creates an Aurical account ("Customer", "you", "your" — referred to as "the Controller" in the Data Processing Agreement described in Clause 9).

By creating an account, checking the acceptance checkbox during onboarding, or using the Service, you agree to these Terms, the Data Processing Agreement, and the Acceptable Use provisions below.

1. Definitions

Terms defined in the Data Processing Agreement — including "Client", "Client Data", "Special Category Data", "Sub-Processor", "Applicable Data Protection Law", and "Processing" — carry the same meaning in these Terms unless the context requires otherwise. In addition:

"Account" means the Customer's Aurical account, used by one or more authorised users at the Customer's practice.

"Clinical Content" means all clinical notes, formulations, session summaries, transcripts, screening/outcome measure responses, mood entries, homework/interactive tool responses, and thread conversation content created, generated, or stored through the Service.

"Subscription" means the Customer's paid plan for access to the Service, as selected at sign-up or subsequently changed.

"Uploaded Template" means a document a Customer uploads for structuring into a reusable template.

2. Eligibility and Account Registration

2.1 Who May Register

The Service is intended for UK-based talking therapists in private practice — clinical psychologists, counselling psychologists, psychotherapists, counsellors, and CBT therapists — and the practice entities through which they operate. By registering, you represent and warrant that:

(a) You are a natural person aged 18 or over, or a duly authorised representative of a practice entity;

(b) You hold (or are supervised by someone who holds) an active professional registration with a relevant UK regulatory or accrediting body (e.g. HCPC, BPS, BACP, UKCP, BABCP), and the details you provide about that registration are accurate;

(c) You hold current professional indemnity insurance appropriate to your practice;

(d) You will only onboard Clients who are adults (18+) — the Service does not currently support processing of data relating to children or young people;

(e) You have the legal authority, as data controller, to instruct Aurical to process your Clients' personal data as described in the Data Processing Agreement.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly if you suspect unauthorised access.

3. The Service

3.1 Description

Aurical provides a clinical practice management and AI-assisted documentation platform, including: the conversational thread workspace, AI-assisted session notes, formulations, summaries and therapeutic tools (all subject to your review and approval before entering the clinical record — the "Approval Gate"), optional real-time audio transcription, client onboarding and screening measures, a client-facing dashboard, appointment management, payments, and email triage.

3.2 The Approval Gate

No AI-generated content enters the clinical record, or becomes visible to a Client, without your explicit review and approval. Aurical's AI functionality assists with documentation and administration; it does not make clinical decisions, diagnoses, or treatment recommendations, and no automated decision with legal or similarly significant effect on a Client is made without your review. You retain full clinical and professional responsibility for all content you approve.

3.3 Not a Medical Device

Aurical is a documentation and practice-management tool. It does not perform automated clinical scoring interpretation, diagnosis, or treatment recommendation.

3.4 Service Changes

We may modify or update the Service from time to time. We will not make a change that materially reduces the Service's core functionality during your then-current Subscription term without reasonable notice.

4. Subscription, Fees, and Payment

4.1 Plans

Subscription plans, pricing, and included usage are as published on our pricing page at the time of sign-up.

4.2 Billing

Fees are billed in advance on a recurring basis via our payment processor. You authorise us to charge your payment method for all fees due. No Clinical Content is transmitted to or processed by our payment processor — only billing and financial data.

4.3 Taxes

Fees are exclusive of VAT and other applicable taxes unless stated otherwise. You are responsible for any taxes arising from your use of the Service, other than taxes on Aurical's income.

5. Data Protection

5.1 Incorporation of the DPA

The Data Processing Agreement is incorporated into and forms part of this Agreement. In the event of any conflict between this Agreement and the Data Processing Agreement on a data protection matter, the Data Processing Agreement prevails.

5.2 Your Obligations as Controller

You are the data controller for your Clients' personal data. You are responsible for establishing a lawful basis and (where applicable) an Article 9 condition for processing, maintaining an Appropriate Policy Document where you rely on Article 9(2)(h), providing your Clients with a privacy notice, and obtaining explicit consent before using audio recording.

5.3 Sub-Processors

The current list of Sub-Processors engaged to provide the Service is set out in the Data Processing Agreement. Changes follow the notification and objection process described there.

6. Your Content and Intellectual Property

6.1 Ownership of Client Data

As between the parties, you (as data controller) retain all rights in Clinical Content and Client Data. Aurical claims no ownership over it and processes it solely to provide the Service. Aurical will not use Client Data to train, fine-tune, or otherwise improve any artificial intelligence or machine learning model.

6.2 Uploaded Templates

Where you upload a template document for structuring into a reusable template, you warrant that you have the right to use that content for this purpose, and you accept the right-to-use attestation presented at upload.

6.3 Aurical IP

Aurical retains all rights, title, and interest in the Service itself (software, design, trademarks, and documentation), excluding your Client Data and Uploaded Templates. We grant you a non-exclusive, non-transferable licence to use the Service during your Subscription term, for the purpose of operating your therapy practice.

6.4 Feedback

If you provide feedback or suggestions about the Service, we may use them without obligation to you. This does not extend to Client Data or Clinical Content.

7. Acceptable Use

You agree not to:

(a) Use the Service to process personal data relating to a Client under the age of 18;

(b) Use the Service in a way that violates Applicable Data Protection Law, your professional body's code of ethics, or any other applicable law;

(c) Attempt to circumvent the Approval Gate described in Clause 3.2, or otherwise present unapproved AI-generated content to a Client as though it were reviewed and approved;

(d) Reverse-engineer, decompile, or attempt to extract the underlying models or source code of the Service, other than to the extent such restriction is unenforceable under applicable law;

(e) Use the Service to store or process content unrelated to the operation of your therapy practice;

(f) Share your account credentials with unauthorised persons.

8. Confidentiality

Each party shall keep confidential the other's non-public business information disclosed in connection with this Agreement, and use it only to perform its obligations under this Agreement. This clause does not limit either party's obligations under the Data Processing Agreement with respect to Client Data.

9. Data Processing Agreement

Aurical processes personal data on your behalf as described in the Data Processing Agreement, which is incorporated by reference into this Agreement.

10. Warranties and Disclaimers

10.1 Mutual Warranties

Each party warrants that it has the legal right and authority to enter into this Agreement.

10.2 Service Provided As Available

The Service is provided on an "as available" basis. Except as expressly stated in this Agreement, Aurical does not give any other warranties, express or implied, about the Service, to the extent permitted by law. Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

10.3 No Clinical Warranty

Aurical does not warrant the clinical accuracy or appropriateness of any AI-generated draft content. You are solely responsible for reviewing and approving all content before it enters the clinical record or becomes visible to a Client, per Clause 3.2.

11. Limitation of Liability

Subject to Clause 10.2 (liability that cannot be excluded or limited), each party's total aggregate liability arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid or payable by the Customer in the 12 months preceding the event giving rise to the claim. Neither party is liable to the other for any indirect, special, or consequential loss.

Nothing in this Clause 11 limits either party's liability under Articles 82-83 of the UK GDPR, which apply independently of this Agreement.

12. Indemnification

Each party will indemnify the other against third-party claims, liabilities, and reasonable costs arising from:

(a) that party's breach of its obligations under the Data Processing Agreement; or

(b) the Customer's breach of Clause 7 (Acceptable Use) or Clause 6 (Your Content and Intellectual Property),

save that Aurical's indemnity does not extend to claims arising from Client Data content or clinical decisions, which remain the Customer's responsibility under Clause 3.2.

13. Term and Termination

13.1 Term

This Agreement begins when you accept these Terms and continues for the duration of your Subscription, renewing automatically unless cancelled.

13.2 Termination for Convenience

Either party may terminate by giving 30 days' written notice, or as otherwise specified in your Subscription plan.

13.3 Termination for Cause

Either party may terminate immediately on written notice if the other party materially breaches this Agreement and fails to cure the breach within 30 days of notice, or becomes insolvent.

13.4 Effect of Termination

On termination, the Data Processing Agreement governs the return or deletion of Client Data. Fees paid are non-refundable except as required by law or as separately agreed.

14. Force Majeure

Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.

15. Assignment

Neither party may assign this Agreement without the other's consent, except that Aurical may assign it in connection with a merger, acquisition, or sale of substantially all assets, provided the acquirer assumes Aurical's obligations under this Agreement and the Data Processing Agreement in full.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes with reasonable advance notice and, where changes are material, seek your renewed acceptance before they take effect. The version and effective date shown alongside this document identify the version currently in force.

17. General Provisions

17.1 Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

17.2 Entire Agreement

This Agreement, together with the Data Processing Agreement and its Schedules, constitutes the entire agreement between the parties regarding the Service, superseding all prior discussions.

17.3 Severability

If any provision of this Agreement is found unenforceable, the remaining provisions continue in full force.

17.4 No Waiver

Failure to enforce any provision is not a waiver of the right to do so later.

17.5 Notices

Notices under this Agreement should be sent to the contact details published by Aurical (for notices to Aurical) and to the contact details you provide at registration (for notices to you).
